Terms of Service

1. Acceptance and eligibility

By creating an account, signing an order form or using the platform you accept these terms for yourself and on behalf of the business you represent. You confirm you have authority to bind that business and that it operates for commercial, not consumer, purposes.

2. The service

Trace Global audits utility bills against published tariffs, reports errors, files refund claims with utilities and provides AP workflow tools, as described in your order form. Trace Global is a utility bill audit and recovery service. It is not a utility, an energy supplier or a law firm, and it does not give legal advice.

We may improve or change features. We will give 30 days notice before removing a material feature that your order form depends on.

3. Accounts and access

You are responsible for the accuracy of the information you provide, for the actions of your users, and for keeping credentials confidential. Tell us promptly at security@traceglobal.si if you suspect unauthorized use.

You authorize us to retrieve bills and data from the utilities, portals, bill-pay vendors and ERP systems you connect. Utility portal access is used read-only.

4. Acceptable use

You will not misuse the platform, probe or disrupt it, attempt to access another customer's data, reverse engineer it except as the law allows, upload malicious code, or use it to violate law or a utility's terms of service.

5. Fees and payment

Fees are set out in your order form. Recovery fees are due only on refunds and credits actually received, as described in the Recovery Agreement. Platform and subscription fees, where they apply, are invoiced monthly or annually in US dollars and are due within 30 days of invoice. Amounts are exclusive of applicable taxes.

6. Customer data and our license to it

You keep ownership of your data. You grant Trace Global a limited license to host, process and analyze it to provide the service, file claims and produce anonymized, aggregated statistics that do not identify you or your sites. We do not train machine learning models on your bill data.

Processing of personal data is governed by the Data Processing Addendum at /legal/dpa.

7. Intellectual property

Trace Global owns the platform, tariff library, audit logic, documentation and trademarks. We grant you a non-exclusive, non-transferable right to use the platform during your term. Reports and evidence packets prepared for your claims are yours to use.

8. Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only for the agreement, and disclose it only to personnel and advisers who need it and are bound by similar duties, or as the law requires.

9. Warranties and disclaimers

We will perform the service with reasonable skill and care. Utilities decide whether to accept a claim, so we cannot guarantee any recovery amount or timing. Except as stated in these terms, the service is provided as is, and we disclaim implied warranties to the extent the law allows.

10. Liability

To the extent the law allows, neither party is liable for indirect, special or consequential loss, and each party's total liability in any twelve-month period is limited to the fees paid and payable to Trace Global in that period. These limits do not apply to fraud, willful misconduct, a party's indemnity for third-party claims, or liability that cannot be limited by law.

11. Term and termination

The agreement runs for the term in your order form and renews as it states. Either party may terminate for uncured material breach on 30 days written notice. Claims filed before termination continue to be pursued and the recovery fee on them survives, as the Recovery Agreement states.

12. Governing law and disputes

These terms are governed by the laws of India. The courts at Hanamkonda, Telangana have exclusive jurisdiction, subject to any mandatory rule of the law of the place where you are located. Notices go to legal@traceglobal.si and to the registered office.
